Itochu Launches TOB on Dentsu Soken — Corporate Governance Acceleration
Itochu Shoji announced it will acquire up to 38.22% of Dentsu Soken (電通総研) and take it private, ending the subsidiary's parent-child listed structure with Dentsu Group. The move is a textbook execution of TSE's PBR-below-1 reform pressure — listed subsidiaries with governance discount are being unwound at pace. For market participants, this is the clearest signal yet that the TSE Prime Market reform playbook is moving from guidance to actual M&A transactions. Expect sogo shosha and Nikkei-heavy parent companies with listed subsidiaries to re-rate as investors price in further unwinds.
